BN Digital Design Service Package – Summary
Scope & Objective
BN Digital provides design services on a time-and-materials basis for hourly or budget-capped engagements. The core objective is to translate business requirements into:
- Wireframes
- High-fidelity mockups
- Prototypes
- Design assets
Procedures are adapted to client needs. Specific requirements are estimated after design discovery sessions during the first two weeks of cooperation.
Included Design Activities (Professional Time)
BN Digital’s professional time may cover:
- Reviewing and analysing documentation
- Converting requirements into tangible design outputs
- Researching inspirations and solution patterns
- Creating proofs-of-concept and design systems
- Creating and modifying design assets
- Assessing and improving existing designs
- Building content structures and data models for designs (not copywriting)
- Writing documentation via proper file naming and comments
- Consulting with team members on project topics
Services are delivered on a time-and-materials basis. Clients may pause work according to their contract.
Client Responsibilities
Clients are expected to:
- Answer professional questions in writing within a reasonable timeframe
- Resolve blocking issues promptly; delays from client inaction are not attributable to BN Digital
- Provide necessary access, credentials, and tools
- Resolve documentation gaps; where documentation is missing or unclear, BN Digital proceeds using reasonable professional judgement and this work remains billable
- Supply all brand assets, content, and materials for which they hold appropriate rights
BN Digital Guarantees
BN Digital guarantees that:
- Assigned professionals have the required skills and committed time
- There is dedicated focus on the engaged project
- Work is performed on prioritised tasks in agreed sequences
- Appropriate equipment is used for effective service delivery
What Clients Receive
Clients receive:
- Ability to manage and prioritise tasks
- Professional time commitment
- All rights in original design outcomes created specifically for them, subject to the IP terms below
Design Nuances
- Business logic is used as guidance unless otherwise documented in writing.
- Design is iterative; professionals may propose alternatives they believe better serve project goals.
- Design is subjective; outcomes reflect professional judgement and may not match individual tastes. This does not constitute a defect.
- Technology constraints may appear during or after design work and can require adjustments; such adjustments are billable.
Acceptance of Design Deliverables
A design deliverable is considered accepted when:
- The client approves it in writing; or
- Five (5) business days pass after delivery without a documented objection.
After acceptance:
- Changes are treated as new scope and billed accordingly.
- BN Digital is not obliged to revise accepted work without a separate agreement.
- Approval confirms the client has reviewed for accuracy, brand compliance, and fitness for purpose.
- BN Digital is not responsible for errors in accepted deliverables that the client did not identify during the review period.
Intellectual Property
Client-Owned Outcomes
Upon full payment of applicable fees, BN Digital assigns to the client all rights in original design work created specifically for the client under the engagement.
BN Digital retains ownership of:
- Pre-existing intellectual property
- Proprietary methods
- Design systems and component libraries
- General design know-how
If such elements are incorporated into deliverables, BN Digital grants the client a non-exclusive, perpetual licence to use them as part of the delivered work.
Third-Party & Open-Source Assets
Design outputs may include third-party assets (e.g., fonts, stock images, icon libraries, Figma plugins). Their use is governed by third-party licence terms.
BN Digital will use commercially reasonable efforts to select assets that permit client use but does not warrant that all such assets are free of restrictions. The client is responsible for obtaining any additional licences needed for their specific use, including commercial publication or resale.
AI-Assisted Design Elements
Where AI tools are used, BN Digital does not warrant that outputs are free from third-party IP claims. The client is responsible for any IP compliance review of AI-generated elements before commercial use.
Client-Provided Materials
The client warrants that all materials they provide (brand assets, imagery, content, etc.) are either unencumbered by third-party IP claims or are used under appropriate rights. The client will indemnify BN Digital against third-party claims arising from BN Digital’s authorised use of such materials.
